Departmental Role
The Company Secretarial department offers legal, corporate administration, and company secretarial services supporting all divisions within the business. This includes setting up and maintaining new legal entities and managing company secretarial records and statutory registers for all group entities.
Role Overview
The appointed Assistant Company Secretary will collaborate closely with the Regional Company Secretary to handle company secretarial responsibilities across the Asia Pacific region, with an emphasis on Singapore. This role offers a diverse, engaging workload within a fast-paced team and is not a conventional company secretarial position; it involves managing a broad portfolio across multiple jurisdictions and addressing ad hoc tasks.
The core accountabilities include:
- Handling corporate legal compliance and administration for numerous companies.
- Drafting and reviewing legal instruments such as board/shareholder resolutions and intercompany agreements.
- Executing group projects and responding to varied ad hoc assignments.
The position demands a proactive, hands-on attitude toward daily administrative operations such as filings, managing signatures, and correspondence. The appointee will be part of an international team performing analogous functions worldwide.
Essential Knowledge, Skills & Experience
- Thorough understanding of Singapore corporate secretarial practices, company law, and compliance obligations.
- Experience with other regional legal jurisdictions is beneficial but not mandatory.
- Between 5 to 8 years of pertinent professional experience.
- Academic credentials such as a law degree or a professional certification like ICSA are preferred.
- Proven ability to operate independently in a dynamic commercial setting, managing interactions with senior management and global teams.
- Strong organizational skills to handle evolving priorities efficiently.
- A pragmatic, solution-oriented mindset with an energetic, enthusiastic demeanor.
- Hands-on approach in managing routine secretarial duties.
- Proficiency in English is required; knowledge of other languages is advantageous.
- Familiarity with MS Office suite, company secretarial software like Computershare or GEMS, and ACRA Bizfile electronic filings.
- Excellent written and verbal communication capabilities.
Key Duties and Responsibilities
- Full responsibility for managing corporate secretarial and compliance tasks for a portfolio exceeding 25 Singapore-registered companies.
- Preparing, coordinating, and ensuring timely execution of legal paperwork including resolutions, minutes, powers of attorney, banking facilities, share transfers, loans, guarantees, and service contracts.
- Providing company secretarial support and overseeing document and records control for the companies assigned.
- Engaging with internal departments such as legal, tax, finance, treasury, and external consultants including auditors, lawyers, and company secretarial agents.
- Conducting all required ACRA filings and notifications pertinent to Singapore entities.
- Maintaining up-to-date statutory registers and minute books.
Organizational Relationships and Reporting
- Work closely with Group and Regional Company Secretaries located worldwide.
- Liaise with corporate directors and colleagues based in Singapore.
- Report directly to the Group Company Secretary in Geneva, Switzerland, and functionally to the Regional Company Secretary in South Africa.
