About the Role

Join a global technology consulting firm dedicated to driving impactful change through cutting-edge engineering and a people-first approach. The Assistant Company Secretary will play a vital part in upholding the corporate governance standards of the organization by delivering expert support to the Company Secretariat team.

Key Responsibilities

  • Maintain and update statutory registers and corporate records, ensuring compliance with the UK Companies Act requirements.
  • Prepare and submit statutory filings to Companies House promptly and accurately.
  • Manage the administration of group entities and maintain entity management systems such as Diligent Entities.
  • Facilitate board and committee meetings by organizing schedules, preparing agendas, assembling documentation, and distributing board packs.
  • Take responsibility for meeting minutes, monitor action items, and ensure timely follow-up.
  • Ensure seamless execution and professional conduct of governance meetings.
  • Support or stand in for the Deputy Company Secretary at board and committee meetings as needed.
  • Develop strong professional relationships with senior stakeholders, serving as a dependable company secretarial contact.
  • Oversee governance compliance deadlines and manage all statutory and regulatory obligations.
  • Maintain organized, up-to-date governance documentation for easy retrieval.
  • Assist with corporate transactions, including director appointments, share allotments, and updates to the group structure.
  • Coordinate with internal teams and external parties like legal advisors, auditors, and registrars.
  • Help manage the company’s share and equity incentive schemes.
  • Contribute to compliance with UK and, where relevant, US SEC and international regulations.
  • Identify opportunities to improve secretarial processes using digital tools, including AI solutions where appropriate.

Required Skills and Experience

  • Experience within a company secretarial or legal team environment.
  • Strong familiarity with the UK Companies Act and corporate governance norms.
  • Proven ability to support board and committee activities professionally.
  • Confident engagement with senior stakeholders in governance contexts.
  • Exceptional organizational skills with the ability to prioritize and meet tight deadlines.
  • Strong attention to detail ensuring accuracy in all tasks.
  • Excellent verbal and written communication capabilities.
  • High degree of professionalism and ability to work autonomously.
  • Familiarity with entity management platforms such as Diligent Entities is advantageous.
  • Experience or knowledge of US regulatory frameworks like the SEC is beneficial.
  • Understanding of equity incentive programs and share plans adds value.

Qualifications

  • A law degree, Chartered Secretary qualification, or equivalent relevant professional experience is required.
