Role overview

Morrison is looking for an Assistant Company Secretary to help strengthen governance across a globally active infrastructure management business. This position sits within the Corporate Legal team and works with boards, committees, internal teams and external service providers across several jurisdictions to support high-quality governance practices.

In this role, you will work alongside the Company Secretary – Director to provide company secretarial support for funds, investment entities and related governance structures. The opportunity offers broad international exposure and the chance to contribute to the effective running of a complex, fast-moving organisation.

Key responsibilities

  • Oversee outsourced company secretarial providers so that governance support is delivered reliably and to a high standard for Morrison’s funds and investment entities.
  • Arrange board and committee schedules, meeting timelines, agendas and board packs for both regular quarterly meetings and ad hoc sessions across multiple entities and jurisdictions.
  • Coordinate with internal stakeholders and service providers to make sure governance obligations, deadlines and board materials are completed accurately and on time.
  • Participate in board and committee meetings from a governance support perspective, then check minutes, action items and resolutions for accuracy and completeness.
  • Keep board, fund and company records complete and up to date, including document handling through governance systems and platforms.
  • Support the governance and day-to-day operation of Morrison funds, investment entities and advisory committees, including both in-house and outsourced arrangements.
  • Assist with corporate, compliance and transaction-related work such as investment and divestment closings, restructures, debt facilities, investor commitments, KYC checks, marketing registrations and policy reviews.
  • Provide company secretarial support for UTA, including board and committee administration, preparation of papers, minute taking, circular resolutions and records management.
  • Help maintain Morrison corporate records, statutory filings, registers, governance templates and policies, and contribute to ongoing process improvement within the secretariat function.
  • Develop effective working relationships with internal stakeholders, trustees, external counsel, auditors, fund administrators and overseas company secretarial providers in line with the global nature of the role.

Candidate profile

The ideal candidate will bring relevant experience, sound judgment on governance matters and a strong relationship-focused approach. You should be comfortable operating in a fast-paced environment with both local and international responsibilities.

  • A qualification in law or finance.
  • 2 to 3 years of experience in legal, corporate governance, company secretarial or finance positions.
  • Background in funds management, financial services or another regulated setting is preferred.
  • Exposure to entity record management, ideally across Australia and New Zealand.
  • Experience dealing with outsourced or overseas company secretarial providers is an advantage.
  • A personable, client-oriented approach with confidence in building relationships across varied stakeholder groups.
  • Ability to collaborate well in a team while also working independently and taking initiative when needed.
  • Strong organisational skills, a structured working style and the ability to manage multiple priorities.
  • Sharp attention to detail, strong critical thinking and clear communication skills.
