About the Role
Our client hosts one of Ireland's foremost Corporate teams, serving a diverse client base from both public and private sectors across multiple industries. The team handles a variety of substantial corporate deals, strategic consultancy, and complex commercial issues. With sustained business expansion, they are looking to recruit a Corporate Solicitor to strengthen their growing practice.
This position offers engagement with sophisticated corporate deals, commercial contracting, and advisory mandates, including unique assignments involving strategic and public policy significance. You'll work alongside seasoned partners and a collaborative team, fostering long-lasting client relationships and enhancing your legal and commercial skills.
Duties and Responsibilities
- Support a wide spectrum of corporate transactions for private and public clients.
- Lead and execute legal due diligence activities, producing detailed due diligence reports.
- Compose, evaluate, and negotiate principal transaction documents such as Share Purchase Agreements, Asset Purchase Agreements, shareholder agreements, and joint venture agreements.
- Oversee the disclosure process by preparing and assessing disclosure letters.
- Draft supplementary transaction paperwork including board minutes, shareholder resolutions, and completion documentation.
- Provide legal advice on corporate restructurings and reorganizations with strategic legal guidance.
- Draft and negotiate various commercial contracts while offering practical business advice.
- Conduct legal research and deliver corporate and commercial advisory support across diverse matters.
- Contribute to business development efforts and aid in the growth of the Corporate division.
- Engage in knowledge-sharing sessions, training, and continuous departmental development.
Candidate Profile
This opportunity is ideal for a motivated Corporate Solicitor aiming to expand their expertise within a respected and supportive practice. The role requires exceptional technical competence, substantial commercial awareness, and confidence handling intricate, high-value deals.
Requirements
- Between 2 and 3 years of post-qualification experience in corporate law with involvement in commercial contract work.
- Proven strength in drafting, negotiating, and conducting legal research.
- Strong analytical skills coupled with commercial acumen.
- Excellent communication and relationship-building abilities.
- Capability to manage numerous transactions and meet tight deadlines simultaneously.
- Adept at working independently and collaboratively within a team.
- Self-driven with a robust work ethic and a keen interest in business development.
- Previous advisory experience for public sector clients is beneficial but not mandatory.
Compensation and Benefits
The role offers a salary reaching up to €95,000. The comprehensive compensation package can total up to €130,000 and includes a bonus scheme, pension plan, hybrid working options, private healthcare, 25 days of annual leave, gym facilities, an on-site canteen, and additional perks.
