Position Overview

Hamad Al Yafei Law Firm invites applications for a skilled Corporate Associate to become a part of its Corporate and Commercial Practice team. The appointed individual will provide expert advice to both local and international clients across a broad spectrum of corporate, commercial, and regulatory matters while aiding in expanding the firm's transactional legal services.

Candidate Profile

• Possess a minimum of five years' pertinent experience in corporate and commercial legal fields.
• Proficient in English, both written and spoken, as a mandatory requirement.
• Demonstrate advanced abilities in legal drafting, negotiation, critical analysis, and communication.
• Capable of independently managing legal matters as well as collaborating effectively in a team environment.
• Prior experience within Qatar or the wider GCC region is a plus but not compulsory.
• Preference will be given to candidates currently residing in Qatar; nonetheless, applicants from outside Qatar will also be reviewed.
• Applications from all suitably qualified candidates are welcomed.

Primary Responsibilities

• Drafting, reviewing, and negotiating a variety of corporate and commercial contracts.
• Handling incorporation, registration, company restructuring, and liquidation processes.
• Managing share transfers, capital adjustments, and modifications to corporate ownership frameworks.
• Preparing and managing shareholders’ and board resolutions, minutes, and constitutional documentation.
• Providing consultation on corporate governance, regulatory compliance, and licensing issues.
• Supporting transactions like mergers and acquisitions, joint ventures, and corporate reorganizations.
• Conducting thorough legal due diligence and formulating legal opinions.
• Offering counsel on routine corporate and commercial legal matters.
• Coordinating with relevant ministries, regulatory bodies, and other authorities.

• تُعد الخبرة العملية في دولة قطر أو دول مجلس التعاون الخليجي ميزة إضافية، ولكنها ليست شرطاً أساسياً.
• تُعطى الأفضلية للمرشحين المتواجدين حالياً في دولة قطر، مع إمكانية النظر في الطلبات المقدمة من خارج الدولة.

• صياغة ومراجعة والتفاوض على عقود الشركات والعقود التجارية.
• تأسيس الشركات وتسجيلها وإعادة هيكلتها وتصفيتها.
• نقل الحصص وتعديل رأس المال وهياكل الملكية.
• إعداد وتقديم الآراء والاستشارات القانونية الخاصة بمسائل الشركات التجارية في دولة قطر.
• تقديم الاستشارات المتعلقة بحوكمة الشركات والامتثال والمتطلبات التنظيمية والتراخيص.
• المساهمة في عمليات الاندماج والاستحواذ والمشاريع المشتركة وإعادة التنظيم المؤسسي.
• تقديم الدعم القانوني في المسائل اليومية المتعلقة بالشركات والمعاملات التجارية.
• متابعة الإجراءات والتنسيق مع الوزارات والجهات التنظيمية والجهات الحكومية المختصة.
