Job Overview
A well-established and reputable company based in Accra, Ghana, is seeking a qualified Company Secretary to join their administrative team in a full-time, on-site capacity. The role involves ensuring compliance with the Companies Act 2019 (Act 992) and supporting the Board in corporate governance practices.
Key Responsibilities
- Assist the Board to ensure adherence to the company’s constitution and all relevant laws.
- Ensure timely dissemination of the company’s annual financial statements to entitled recipients as required by law.
- File all statutory forms and returns accurately and promptly with the registrar.
- Provide advisory guidance to the Board regarding their duties, responsibilities, powers, and any legal developments impacting the company’s operations.
- Alert the Board on relevant legislation affecting shareholder and director meetings and report compliance issues during meetings.
- Ensure accurate recording of shareholders’ and directors’ meeting minutes in legally acceptable formats.
- Organize and attend Board of Directors meetings, managing secretarial responsibilities unless delegated otherwise.
- Manage logistics for Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs), including publishing notices and distributing relevant circulars and reports to members.
- Maintain company registers including registers of charges on company properties, debenture holders, and members.
- Perform any additional duties mandated by the Companies Act or assigned by the Board.
Qualifications and Experience
- Possess a professional or tertiary qualification providing adequate knowledge and experience to perform company secretary functions, preferably with a focus on company law practice and administration.
- Have at least three years of prior office experience before appointment as company secretary as per Section 211 of the Companies Act.
- Be a member in good standing of the Institute of Chartered Accountants, Ghana, or
- Be an enrolled barrister or solicitor in good standing within the Republic, or
- Have qualifications or professional memberships that demonstrate capability to serve effectively as company secretary.
- Have a minimum of two years’ relevant work experience as a Company Secretary or in a similar role.
Remuneration and Location
The compensation package is competitive and commensurate with qualifications and experience. The job location is in Accra, Ghana.
