About the Role
UniAcco, led by Adventum Student Living Private Limited, is dedicated to developing an innovative technology-driven platform for international students, facilitating seamless solutions to achieve their educational aspirations. Originating in 2019 with UniAcco, a global student accommodation service, followed by the launch of UniCreds in 2020, an education loan marketplace, and recently UniScholarz, a global counseling platform. These initiatives collectively offer students hassle-free, free-of-cost assistance to pursue their educational goals.
Key Responsibilities
- Oversee comprehensive secretarial compliance in accordance with the Companies Act, 2013 and relevant Secretarial Standards.
- Manage private placement procedures independently for securities issuance by private firms.
- Draft and prepare documentation including board and shareholder notices, agendas, meeting minutes, circular resolutions, and related materials.
- Manage alterations to articles of association (AoA) and conduct other corporate actions.
- Prepare and submit statutory forms to the Ministry of Corporate Affairs (MCA).
- Coordinate with registrars and transfer agents, banking institutions, depositories, and depository participants for corporate governance matters.
- Assist in equity and debt fundraising deals, reviewing shareholders' agreements (SHA), share subscription agreements (SSA), and share purchase agreements (SPA).
- Maintain statutory registers, compliance schedules, management information system reports, secretarial records, and tracking tools.
- Administer and maintain documentation, policies, and records relating to Employee Stock Ownership Plans (ESOP).
- Collaborate with internal teams, external consultants, auditors, and regulatory bodies to ensure prompt execution of corporate activities.
- Support the annual secretarial compliance process and promote robust corporate governance practices.
Candidate Eligibility
- Applicants must have at least 1 year of relevant experience.
- Candidates should be based in Mumbai.
- Must be a qualified company secretary and a member of ICSI.
- Possess 1 to 2 years of post-qualification corporate secretarial experience.
- Strong understanding of the Companies Act, 2013, secretarial standards, and MCA compliance.
- Exceptional drafting, analytical, communication, and stakeholder management capabilities.
- Experience with legal drafting, commercial contracts, or corporate legal matters is favorable.
- Ability to juggle multiple priorities while maintaining accuracy and compliance.
Compensation and Work Environment
- Annual salary between INR 600,000 and INR 700,000.
- Five-day workweek
