About the Role

Temasek’s Structuring & Execution team is the in-house M&A specialist group within the Investment Group. The team works on designing and carrying out large, intricate transactions across global industries, covering public and private M&A, joint ventures, spin-offs, capital raises, restructuring and related deal types.

This is a lean, highly collaborative environment where the selected candidate will partner with multiple teams across the Temasek ecosystem to help deliver meaningful outcomes.

Key Focus Areas

  • Create and implement transaction structures that support Temasek’s investment and divestment goals.
  • Assess the financial effects of different deal structures, including modelling, return analysis and due diligence support.
  • Review investment term sheets and transaction documents, with particular attention to the commercial and financial terms.
  • Help coordinate end-to-end transaction execution by identifying risks early, resolving issues and aligning internal and external stakeholders.

Responsibilities

  • Support the structuring and execution of complex investment and divestment transactions.
  • Work alongside industry, markets and portfolio development teams, as well as legal, tax and finance partners, to evaluate and structure deals.
  • Review deal terms and transaction documentation as part of the execution process.
  • Perform detailed financial analysis of possible transaction structures.
  • Draft recommendations for deal teams and senior leadership.

Requirements

  • 2 to 5 years of relevant experience in a leading private equity, investment banking or corporate finance/M&A environment.
  • Comfort working in a fast-moving setting while balancing several priorities at once.
  • A proactive mindset with a strong focus on solutions.
  • Strong analytical ability and advanced financial modelling skills.
  • Excellent communication, interpersonal and collaboration skills.
  • Working knowledge of tools such as Bloomberg, Capital IQ and Factiva.
  • Prior deal structuring experience is not mandatory.
