About the Role
CV Resources is collaborating with a private equity firm seeking a diligent and analytical Private Equity Associate to facilitate buy-side and sell-side due diligence, financial modeling, and investment analysis. The candidate will partner closely with senior investment professionals and management teams, assessing investment prospects, constructing financial models, and spearheading value creation strategies across portfolio companies. While the position is fully remote, preference is given to applicants currently residing in California.
Key Responsibilities
- Lead and assist in buy-side and sell-side due diligence for acquisitions, recapitalizations, and divestitures.
- Evaluate historical financial statements, operational metrics, and KPIs to determine investment potential.
- Manage coordination with third-party diligence partners, including earnings quality, tax, legal, insurance, and commercial diligence teams.
- Analyze due diligence results to pinpoint transaction risks, opportunities, and strategies for value enhancement.
- Support negotiations of purchase agreements, transaction structures, and facilitate closing processes.
- Develop and uphold complex financial models such as LBO, DCF, merger, operating, and valuation models.
- Conduct scenario and sensitivity analyses, alongside return modeling, to appraise prospective investments.
- Assess capital structures, debt financing options, and transaction economics.
- Prepare comprehensive investment committee materials, presentations, and recommendations for senior leadership review.
Required Qualifications and Experience
- Bachelor's degree in Finance, Economics, Business, Accounting, or related disciplines.
- MBA, CFA, or equivalent advanced credentials are advantageous.
- Between 2 to 8 years of direct experience in Private Equity.
- Demonstrated experience with lower middle-market or middle-market deal evaluations.
- In-depth knowledge of buy-side and sell-side M&A workflows.
- Proficiency in financial due diligence and transactional analysis.
- Advanced expertise in financial modeling and valuations, particularly LBO models.
- Excellent analytical, verbal and written communication, and presentation skills.
- Capability to concurrently manage several transactions in a high-tempo environment.
Technical Skills
- High proficiency with Microsoft Excel and PowerPoint.
- Expertise in Financial Modeling and Valuation techniques.
- Strong command of LBO Modeling.
- Experience in M&A Analysis.
- Understanding of Capital Structure Analysis.
- Competency in Transaction Due Diligence.
