Role Overview
The Company Secretary is tasked with ensuring that the company adheres to financial, legal, and governance standards. This role involves managing company records, advising on corporate legal matters, and assuring that all company regulations and procedures comply with the latest laws.
Responsibilities
- Ensure adherence to all statutory and regulatory obligations.
- Facilitate execution of board decisions.
- Maintain official registers for members, directors, and secretaries.
- Arrange and manage annual general meetings, including agenda preparation, minute taking, and communication of outcomes.
- Offer legal, financial, and strategic guidance to the Board of Directors.
- Handle correspondence, gather and compile reports, and ensure decisions reach relevant stakeholders.
- Participate in meetings to advise on legal, governance, accounting, and tax matters associated with proposed policies.
- Keep abreast of legislative and regulatory changes, implementing necessary actions.
- Oversee office management and personnel administration tasks such as training, performance reviews, and disciplinary measures.
Qualifications
- Demonstrated experience serving as a Company Secretary.
- Comprehensive knowledge of company law, legal terms, and corporate governance principles.
- Understanding of statutory compliance and the regulatory landscape.
- Strong command of English language skills.
- Excellent organizational and communication capabilities.
