Role Overview
We are looking for a seasoned Senior Legal Counsel to support the Legal & Compliance team, with a focus on technology transactions, privacy compliance, and intellectual property matters. The position calls for a commercially oriented lawyer who can handle sophisticated legal issues, advise on SaaS and other tech agreements, and turn legal risk into practical business guidance for stakeholders across a complex, multicultural organization.
Technology Contracts and Commercial Work
- Prepare, assess, and negotiate a wide range of technology agreements, such as SaaS contracts, EULAs, master service agreements, software licenses, cloud arrangements, OEM deals, and joint development contracts.
- Run negotiations with enterprise customers, suppliers, data partners, and channel/reseller counterparts while protecting the company’s position and keeping terms commercially balanced.
- Examine RFP terms and conditions, flag contractual exposure, and guide internal teams with realistic mitigation steps.
- Update and standardize contract templates, negotiation playbooks, and legal team procedures.
Data Privacy and Compliance
- Oversee rollout and continued operation of the company’s data governance framework, including policies, notices, and contract updates.
- Coordinate the DPO function and act as the main privacy contact for internal teams and regulatory authorities.
- Lead privacy compliance efforts for GDPR, CCPA/CPRA, and HIPAA, including training, handling data subject requests, and supporting breach response.
- Ensure privacy practices align with recognized standards and frameworks such as ISO 27001, NIST, and SOC.
Intellectual Property and Open-Source Compliance
- Advise on IP strategy for new product launches, including patent analysis and review of IP checklists.
- Provide guidance on open-source software use, contribution, and acquisition issues across licenses such as GPL, LGPL, MIT, BSD, and Apache.
- Handle trademark-related work, including classification searches and support for infringement matters.
M&A and Strategic Transactions
- Support legal due diligence and risk review for mergers, acquisitions, and strategic partnerships.
- Structure protections through representations, warranties, indemnities, and other risk-allocation provisions.
- Work with outside counsel on cross-border transactions and regulatory matters.
Education and Experience
- LLB or an equivalent law degree from a recognized institution is required; further study or specialization in IP or technology law is a plus.
- CIPP-US, CIPP/E, or a similar IAPP privacy certification is strongly preferred.
- 6 to 8 years of post-qualification experience in technology law, including at least 3 years in an in-house corporate legal position.
- Experience supporting Fortune 500 companies or large conglomerates in cross-cultural, multi-jurisdictional settings.
- Proven ability to negotiate complex, high-value technology contracts.
- Practical experience building privacy compliance programs for GDPR, CCPA/CPRA, and HIPAA.
Skills and Competencies
- Strong command of software licensing, SaaS contracting, and cloud agreement structures.
- Working knowledge of open-source licensing obligations and compliance practices.
- Ability to coordinate with external counsel and oversee budgets and matters.
- Clear written and verbal communication, with the ability to explain legal issues in business-friendly terms.
- Strong reasoning, negotiation, and issue-solving abilities with a commercial mindset.
