About the Role
The Legal Counsel position at Zain Omantel International (ZOI) provides continuous legal assistance, primarily focusing on managing commercial contracts, delivering legal advice, monitoring regulatory changes, collaborating with external law firms, and contributing to governance and compliance processes.
Responsibilities
- Oversee the daily operations and supervision of the Cygnet OSS Platform.
- Draft, review, and assist in negotiating various commercial contracts including NDAs, service and vendor agreements, customer contracts, and partnership agreements.
- Offer ongoing legal counsel to internal departments regarding contracts, commercial dealings, and day-to-day business issues.
- Identify potential legal risks within business activities and suggest practical solutions to mitigate those risks.
- Ensure all legal documents are clear, balanced commercially, and protect company interests.
- Keep track of emerging legal and regulatory developments and evaluate their impact on the company.
- Provide summarized reports and updates on relevant new laws, regulations, and compliance requirements.
- Coordinate with external legal firms for specialized issues, opinions, dispute resolution, and litigation support.
- Manage legal documents, internal inputs, and follow-ups necessary for external legal assistance.
- Maintain records and updates related to legal cases, claims, or disputes.
- Create, review, and revise internal policies, legal notices, procedures, and governance documentation.
- Support governance and company legal documentation, including corporate and subsidiary matters.
- Collaborate closely with business, commercial, finance, HR, operations, and corporate teams to provide timely legal advice.
- Assist the Senior Legal Counsel & Company Secretary in coordinating legal matters across different markets.
- Ensure legal documents are properly archived with version control and accessible as needed.
Qualifications and Experience
- Holder of a Bachelor’s Degree in Law (LLB) or equivalent legal credentials.
- Minimum of 3 to 5 years of legal experience either in a law firm or an in-house legal department.
- Proven experience in commercial contract drafting, legal advisory, research, and monitoring regulatory changes.
- Familiarity with Saudi commercial law and practical experience within the Saudi legal framework is highly desirable.
Skills and Knowledge
- Expertise in drafting and reviewing commercial contracts.
- Solid understanding of commercial law and related legal frameworks.
- Ability to interpret and summarize legal and regulatory shifts effectively.
- Competence in identifying legal risks and spotting potential issues.
- Strong skills in legal research and analysis.
- Capability to deliver clear, business-focused legal guidance.
- Excellent legal drafting proficiency in both English and Arabic languages.
- Disciplined approach to document management and legal administration.
- Knowledge of telecommunications, telecom regulations, and data center legal issues.
