Role Overview
Elecon Engineering Company Ltd., a leading manufacturer in Industrial Geared Motors, Reducers, Material Handling Equipment, and Mining Equipment based in Anand, India, seeks a qualified Company Secretary. Established in 1951, the company is a prominent player in Asia's industrial sector.
Key Responsibilities
- Provide support in organizing Board Meetings, Annual General Meetings (AGMs), and Committee Meetings including drafting and issuing notices and agendas, as well as preparing comprehensive minutes.
- Ensure strict adherence to SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and ensure timely filing of all necessary disclosures and intimations with the Stock Exchange.
- Assist in the compilation and preparation of the Annual Report, encompassing the Directors' Report, Corporate Governance Report, and Business Responsibility and Sustainability Report (BRSR), along with managing all dividend-related processes.
- Complete filing of ROC/MCA e-forms and upkeep of statutory registers in compliance with the Companies Act, 2013.
- Address shareholder grievances concerning share transfers, transmissions, and issues related to the Investor Education and Protection Fund (IEPF), coordinating effectively with the Registrar and Transfer Agent (RTA) and banks.
Requirements
Expertise in applied compliance with the Companies Act, understanding of SEBI regulations, and capability in managing complex corporate governance and secretarial matters is essential. Strong communication and documentation skills are required.
