Overview
The Company Secretary will take charge of overseeing corporate governance, ensuring statutory compliance, and handling secretarial documentation for various group entities based in Bengaluru. The role demands managing all regulatory filings, keeping statutory records up to date, and working closely with external consultants to comply with legal requirements.
Primary Duties
- Ensure compliance with applicable laws including the Companies Act and FEMA, managing timely submissions to ROC and other regulatory bodies.
- Maintain compliance schedules vigilantly to prevent any deadline misses.
- Prepare and manage statutory registers, meeting minutes, resolutions, notices, and agendas for board and shareholder assemblies.
- Guarantee thorough documentation practices and record maintenance across all relevant entities.
- Liaise with external company secretaries, legal advisors, and consultants to fulfill compliance needs efficiently.
- Support internal departments regarding compliance inquiries and requirements, serving as a centralized contact for corporate governance matters.
- Uphold governance standards and internal policies while assisting board procedures and regulatory adherence.
- Participate in establishing and maintaining compliance frameworks at the organizational group level.
Qualifications and Experience
- Must be a qualified Company Secretary (CS) certified by the Institute of Company Secretaries of India (ICSI).
- Possess between 1 to 3 years of hands-on experience in secretarial and compliance responsibilities.
- Previous exposure to managing compliance across multiple entities will be advantageous.
