Overview
The Governance Manager will be responsible for ensuring that the company adheres to best practices and standards in corporate governance, promoting transparency, accountability, and operational efficiency. The role involves designing and sustaining a robust governance framework that complies with relevant laws and regulations while supporting the organization's strategic goals in a responsible and sustainable manner.
Key Responsibilities
- Develop and implement internal policies and procedures that uphold effective corporate governance.
- Regularly review and update governance policies to stay aligned with evolving laws, regulations, and industry standards.
- Formulate strategies to identify and mitigate governance-related risks.
- Propose enhancements to governance structures to improve overall company performance and effectiveness.
- Ensure decision-making processes are transparent, thoroughly documented, and traceable.
- Establish a clear accountability framework securing commitment from Board members and employees alike.
- Assess risks related to governance, including conflicts of interest, ethics issues, and compliance violations.
- Track governance effectiveness by designing and monitoring key performance indicators (KPIs).
- Provide the Board with periodic governance reports highlighting status, significant challenges, risks, and improvement opportunities.
- Supply accurate, timely information regarding company performance and governance compliance to build stakeholder trust.
- Strengthen relationships with external advisors, regulators, and key stakeholders to uphold best governance practices.
- Coordinate with internal audit to ensure continual review of processes and adherence to policies.
- Evaluate the current governance framework’s success and identify areas for continuous improvement.
- Stay updated on emerging governance standards and regulatory changes, implementing them as appropriate.
- Raise awareness among employees and management about the vital role of corporate governance in organizational performance and sustainability.
- Ensure compliance with all local laws, regulations, and sector-specific requirements.
- Collaborate with regulatory authorities and external bodies to maintain full legal compliance.
- Oversee organizational adherence to governance policies, procedures, and ethical standards across all departments.
- Lead, motivate, and develop the governance team, fostering a positive, high-achievement culture.
- Implement training and development initiatives to enhance employee capabilities supporting operational excellence.
- Monitor and support team performance through coaching and guidance to meet objectives.
- Prepare regular departmental performance reports for senior management covering achievements and key challenges.
Qualifications
- Bachelor's degree in Business Administration, Corporate Governance, Law, Finance, or a related discipline.
