About the Role
Join an empowered, innovative, and entrepreneurial team within MNP’s Legal & Risk Management division as a Legal Counsel specializing in Technology and Digital Commercial Contracts. You will support the organization by providing expert legal guidance across various technology-related practice areas, helping mitigate risks and ensure compliance throughout the firm.

Key Responsibilities
- Support the Information Technology resource group and Digital practice through comprehensive involvement in software procurement and digital service delivery lifecycle management.
- Act as a trusted legal advisor offering practical, solution-driven counsel related to technology and digital matters such as software licensing, digital services, data privacy, and cybersecurity.
- Utilize an in-depth understanding of applicable laws and regulations to proactively identify and mitigate risks while ensuring organizational compliance.
- Draft, assess, and negotiate a broad spectrum of agreements including software licenses, master service agreements, RFPs/RFIs, SaaS contracts, system implementations, cloud engagements, managed services, and other related documentation.
- Provide guidance on risk mitigation, commercial strategies, and negotiate terms especially in scenarios involving prescriptive or non-negotiable clauses common in large enterprise or public sector contracts.
- Advise on emerging technology legal risks, such as those associated with AI-enabled tools, privacy, and information security.
- Conduct legal and regulatory research, prepare concise briefs, and offer compliance insights to inform and support decision-making by stakeholders.
- Build and maintain strategic relationships with internal stakeholders and external counsel.
- Gain deep familiarity with MNP’s services, sectors, and business operations.
- Contribute innovations to improve contracting processes including developing templates, playbooks, and scalable methods.
- Provide legal guidance regarding the use of AI, data management, and associated ethical and privacy considerations.
Qualifications and Experience
- At least four years of post-call experience, with significant expertise in technology and commercial contract law.
- Active membership in good standing with the Law Society of Alberta.
- Demonstrated experience drafting, reviewing, and negotiating various agreements including software licensing, cloud-based services, professional services, maintenance and support, and integration agreements.
- Knowledge of intellectual property law, privacy and data protection regulations, and emerging technologies including artificial intelligence.
- Strong business acumen with the capability to offer pragmatic, risk-aware guidance in dynamic environments.
