Role overview
A large distribution business is hiring a Company Secretarial Assistant to join its Group Company Secretarial function in Dublin. This is a permanent, full-time office-based role that supports corporate governance and regulatory compliance across the group. The position reports to the Deputy Company Secretary and offers direct exposure to senior management and plc board directors.
What you will do
- Support the Deputy Company Secretary with routine company secretarial work and one-off projects.
- Handle subsidiary board administration, including preparing minutes, shareholder resolutions, and amendments to constitutions.
- Keep statutory books and registers up to date for group subsidiaries using Diligent Entities.
- Assist with preparing, approving, and filing statutory accounts for subsidiary companies.
- Prepare and submit CRO and Companies House filings for the company and its subsidiaries.
- Arrange the signing and sealing of legal documents.
- Draft standard papers for plc board and committee meetings.
- Help organise the company’s AGM.
- Maintain and update bank mandate records for all group subsidiaries.
- Carry out general admin tasks such as scanning, filing, and binding as needed.
